PROCEDIMENTOS E GARANTIAS DAS PARTES 9EM LINGUA INGLESA)

PROCEDURES AND WARRANTIES OF THE PARTIES

1. Initial Buyer Documents The Buyer must issue the following documents: • LOI (Letter of Intent) • BCL (Bank Comfort Letter) or RWA (Ready, Willing & Able Letter) • Copy of the Buyer's Passport

2. Financial Evaluation Upon receiving the LOI and either the BCL or RWA, the Seller will assess the Buyer’s financial capability.

3. Soft Corporate Offer (SCO) If the Buyer is approved, the Seller will issue a Soft Corporate Offer (SCO), which remains valid for 5 (five) days.

4. Contract and Invoice Once the SCO is signed by both parties, the Seller will issue the SPA (Sales and Purchase Agreement) and Commercial Invoice for the Buyer to initiate issuance of payment via SBLC or DLC.

5. Performance Bond (PBG 2%) The Seller will issue a 2% Performance Bond (PBG) as a guarantee for the Buyer. This bond ensures the Seller will fulfill the terms of the contract and is usually issued for the value of one shipment. Note: The PBG is only activated after the Buyer’s bank approves and issues the Letter of Credit (LC) via SWIFT. No PBG will be issued for SPOT contracts.

6. Payment Terms Payments shall be made via irrevocable SBLC or DLC, which may be transferable and must be: • Confirmed • Unconditional • Irrevocable • Divisible

Issued by a Top 50 World Bank, in compliance with the terms of the contract. Payment will be released to the Seller at the port of loading against shipping documents, including but not limited to: • POP (Proof of Product) • BL (Bill of Lading) • SGS Certificate (or equivalent international quality certification) • All other export documents as outlined in the contract.

7. Samples and Site Visits Samples and on-site visits are not available or planned. Proof of product will be issued through the Seller's PRIME BANK, confirming that the product meets the contract specifications.

8. Proof of Past Performance (POP) The Seller’s suppliers will not provide historical documents such as: • Previous Bills of Lading • Shipping documents • SGS reports • Lab test results • PBGs • SOPs • Contracts This policy is to prevent data from being falsified or plagiarized by third parties.

9. Accepted Payment Instruments We accept the following methods of payment: • DLC (Documentary Letter of Credit) issued by a Top 50 World Bank • SBLC (Standby Letter of Credit) issued by a Top 50 World Bank • SBLC (Standby Letter of Credit) LEASE issued by BGG BANK- Cost $350,000.00 • Alternative Option: o 30% payment upon contract signing o 70% payment upon presentation of shipping documents
